As TechLoft's lawyers and strategic partners, one of our main goals is to better prepare start-ups to deal with investors and obtain that hoped for investment.
To that end, we'd like to share with you some of our knowledge and experience in preparing Angel & VC investment documents, and expose you to their key terms and critical points.

Our lecture will be provided over 2 sessions (in English) and will focus on:
(1) providing you with an overview of the basic legal structure of the Venture Capital deal;
(2) understanding the various provisions of the typical investment documents; and
(3) discussing which terms are important to negotiate.

- During our 1st session (June 19th, 2012); we will go through and understand the structure of the industry's typical share purchase agreement and share repurchase agreement, covering such topics as investment structures, reps and warranties, conditions to closing, restricted shares and reverse vesting.
- During our 2nd session (July 3rd, 2012); we will review and explain the articles of association and investor's rights agreement. We will help you understand commonly used terms like preferred shares, veto rights, anti-dilution rights, rights of first refusal, tag along and registration rights.

About the Speaker:
Adrian Daniels is a partner at the International Department of Yigal Arnon & Co., one of Israel's leading and most prominent law firms. Adrian's practice involves a wide variety of corporate transactions, including mergers and acquisitions, public and private financings and complex finance transactions.
He has represented issuers in public offerings in the United States, and advises companies on ongoing SEC and NASDAQ matters affecting both Israeli and domestic issuers. Adrian's practice also extends to corporate finance, venture capital and general corporate law, primarily for the high tech industry, including private equity and debt offerings, venture capital financings, business formation, corporate governance and contractual matters.
Adrian also has experience in day to day corporate matters, providing young companies with legal advice on the full range of corporate and commercial issues affecting such enterprises.
Adrian joined Yigal Arnon & Co. in 2000 and became partner in 2006. He is active in managing the firm's Pro Bono practice. He received his law degree from Leeds University in 1991 and an M.A in Middle Eastern Studies from London University in 1992. Adrian was admitted to the Bar of England and Wales in 1993 and to the Israel Bar in 1997.
